Terms of Service

By accessing or using Iterova ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including users with free and paid accounts.

Iterova is a project management and task-tracking platform that allows individuals and teams to organise, plan, and track work. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

To use certain features, you must create an account. You agree to:

• Provide accurate and complete registration information.

• Maintain the security of your account password.

• Promptly notify us of any unauthorised use of your account.

• Accept responsibility for all activity that occurs under your account.

You must be at least 16 years old to create an account.

You agree not to use the Service to:

• Violate any applicable laws or regulations.

• Infringe the intellectual property rights of others.

• Transmit malicious code, viruses, or disruptive data.

• Attempt to gain unauthorised access to other accounts or our systems.

• Use the Service to send unsolicited commercial communications (spam).

• Scrape or harvest data from the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these rules.

The Service and its original content (excluding user-generated content) are and will remain the exclusive property of Iterova, Inc. You retain full ownership of the content you create using the Service. By using the Service, you grant us a limited licence to store, display, and process your content solely as necessary to provide the Service.

Paid plans are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy. We reserve the right to change pricing with 30 days’ notice.

The Free plan is provided as-is with no uptime guarantee. We reserve the right to modify the features available on the Free plan at any time. Users who exceed Free plan limits will be notified and given the opportunity to upgrade.

You may delete your account at any time from Settings → Billing. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately, and we will delete your data within 30 days.

We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable.

Our collection, use, storage, and protection of personal data are further described in our Privacy Policy.

By using the Service, you acknowledge that personal data submitted through the Service may be processed for the purpose of providing, maintaining, and improving the Service.

You may upload, store, or process data relating to your employees, contractors, team members, clients, or other individuals through the Service, including names, contact information, workload data, wage-related information, or other operational records ("Customer Data").

You are solely responsible for ensuring that you have a valid legal basis to collect, use, and share such Customer Data with us through the Service.

You remain the controller of Customer Data you submit, and Iterova acts as a processor of such data only to the extent necessary to provide the Service.

Where the GDPR applies, we will process personal data only on documented instructions from the customer, unless otherwise required by law.

We implement reasonable technical and organisational measures designed to protect personal data against unauthorised access, loss, misuse, or alteration.

Where required, customers are responsible for entering into any necessary data processing agreements with Iterova before using the Service to process regulated personal data.

Customers are also responsible for responding to data subject requests, maintaining appropriate notices, and ensuring lawful international data transfers where applicable.

We retain Customer Data only for as long as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce these Terms.

Upon termination of your account, we will delete or anonymise Customer Data within a reasonable period, unless retention is required by law.

You are responsible for exporting any data you wish to retain before account termination or deletion.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Iterova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of the Service. Our total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months prior to the claim.

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes will be resolved in the courts of San Francisco County, California.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and sending an email notification at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
